International contracts are the instrument by which operators shape the global economy. This seminar is meant to provide instruction in several key aspects of contract law, focusing on the international and transnational levels.

Both in terms of international litigation and conflicts-of-laws, international contracts are subject to an original regulation. We will adopt a European perspective, having regard to both the Brussels I (recast) and Rome 1 Regulations, as well as an international perspective, with respect to non-binding transnational rules (e.g. the Unidroit principles), as well as international conventions (e. g. the CISG). We will also study specific contracts, due to their importance in practice. Finally, the adoption of the due diligence directive (CS3D), and its future implementation into European national law, is an important game-changer, affecting most Business to Business (B2B) contracts. A special focus will be devoted to these changes in the future, affecting both European in-scope companies, as well as non-European companies.
